Terms of Service

Please read these Terms carefully before engaging our services.

These Terms of Service ('Terms') govern your use of the Open Meadow Deck Consulting Ltd website and all coaching, consulting, and training services we provide. By engaging our services or using our website, you agree to be bound by these Terms. Open Meadow Deck Consulting Ltd is incorporated in Uganda (Reg. No. 80112345) with registered address at Plot 14 Wampewo Avenue, Kampala, Uganda.

1. Nature of Our Services

Open Meadow Deck Consulting Ltd provides professional coaching, consulting, and leadership development services to individuals and organisations across East Africa and beyond. Our approach is grounded in ICF-accredited coaching methodologies and evidence-based consulting practice.

It is important to understand the nature and scope of what we offer:

  • Our services are professional development-focused — designed to support career growth, leadership effectiveness, and organisational performance.
  • Our coaching and consulting services are not therapy, counselling, psychiatric support, or medical treatment of any kind.
  • Our coaches are ICF-trained professional coaches — they are not licensed therapists, psychologists, psychiatrists, or medical practitioners.

Important: If you are currently engaged in therapy or experiencing mental health challenges, please consult your healthcare provider before beginning a coaching engagement with us. Coaching is a complementary professional development service, not a substitute for clinical care.

2. Client Responsibilities

A productive coaching engagement requires genuine commitment from both parties. As a client, you commit to the following:

  • Participate honestly and openly in all coaching conversations
  • Complete agreed reflection exercises, assignments, and activities between sessions
  • Make payments on time in accordance with your agreed payment schedule
  • Treat all coaches and staff with respect and professional courtesy
  • Provide reasonable advance notice if you need to cancel or reschedule a session
  • Inform us of any relevant circumstances — including ongoing therapy or significant health conditions — that may affect the coaching engagement

We reserve the right to decline or discontinue an engagement if client conduct is disrespectful, abusive, or incompatible with a constructive professional relationship.

3. Coaching Agreement

Each coaching engagement is governed by a separate Coaching Agreement, signed by both the client (and/or sponsoring organisation) and Open Meadow Deck Consulting Ltd prior to commencement of services.

The Coaching Agreement sets out:

  • Specific coaching goals and objectives
  • Engagement timelines and session frequency
  • Accountability structures and agreed milestones
  • Any bespoke commercial or confidentiality arrangements

Once signed, the Coaching Agreement supersedes these Terms of Service for all service-specific matters it addresses. These Terms continue to govern all matters not specifically addressed in the Coaching Agreement.

4. Fees and Payment

All fees for our services are quoted in Ugandan Shillings (UGX) or US Dollars (USD), as stated in your service proposal or Coaching Agreement. All fees quoted are exclusive of any applicable taxes.

Payment Terms

Organisations / corporate clients 30 days from invoice date
Individual clients Payment in advance or on session day, unless otherwise agreed in writing

Late Payment

Late payment interest of 2% per month applies on all overdue balances after the 30-day due date. We reserve the right to suspend services where payment remains outstanding beyond 30 days without prior written agreement.

Accepted Payment Methods

  • Bank transfer: Stanbic Bank, Centenary Bank, DFCU Bank (Uganda)
  • MTN Mobile Money
  • Airtel Money
  • USD international bank transfer (for non-UGX engagements)

5. Cancellation and Rescheduling Policy

We understand that schedules change. Our policy is designed to be fair to both clients and coaches:

48+ hours notice

Free Reschedule

No charge applies. A free reschedule is offered at your convenience.

24–48 hours notice

50% Session Fee

Half the session fee is charged. A free reschedule is still offered.

Under 24 hours / No-show

100% Session Fee

Full session fee applies. No reschedule credit is provided.

Coach cancels

Full Refund or Reschedule

If we cancel due to illness or emergency, a full refund or free reschedule is offered within 5 working days. We aim to provide at least 24 hours notice.

Group and team programmes: Cancellation and rescheduling terms for group sessions, workshops, and team coaching programmes are set out in the specific programme agreement and may differ from the individual session policy above.

6. Confidentiality

Confidentiality is fundamental to an effective coaching relationship. The following commitments apply to both parties:

  • All coaching session content is confidential per the ICF Code of Ethics.
  • We will not disclose session content to any third party — including sponsoring employers — without your explicit written consent, except as required by Ugandan law or to prevent imminent serious harm.
  • Clients must not record any coaching session without the coach's prior written consent.
  • Both parties agree to maintain the confidentiality of all information shared in connection with the engagement that is designated as confidential, or that a reasonable person would understand to be confidential.

These confidentiality obligations survive the termination or expiry of your coaching engagement.

7. Intellectual Property

All coaching materials, frameworks, worksheets, workbooks, slide decks, and methodologies developed by Open Meadow Deck Consulting Ltd are our proprietary intellectual property:

When you engage our services, you are granted a limited, non-exclusive, non-transferable personal licence to use any materials we provide for your own personal and professional development only.

You may not, without our prior written permission:

  • Reproduce, copy, or distribute our materials in any form
  • Sell, sublicense, or commercially exploit our materials
  • Create derivative works based on our materials
  • Share our proprietary frameworks or methodologies with third parties as if they were your own

Breach of these intellectual property provisions may result in termination of your engagement and legal action to recover damages.

8. Limitation of Liability

Coaching is a professional development service and is not a substitute for professional legal, financial, medical, or psychological advice. You should seek qualified professional advice on all matters outside the scope of professional coaching.

To the maximum extent permitted by applicable Ugandan law:

  • Our maximum aggregate liability to you for any claim arising from or connected with our services is limited to the total fees you paid to us in the 12 months immediately preceding the claim.
  • We are not liable for any indirect, consequential, special, incidental, or punitive damages arising from our services.
  • We are not liable for lost profits, lost business opportunities, or reputational harm.
  • We are not liable for actions or inactions you take or fail to take based on coaching conversations.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, to the extent such limitation is prohibited by Ugandan law.

9. Coaching Outcomes

We are deeply committed to delivering high-quality, evidence-based coaching that supports meaningful change and growth. However, the nature of professional coaching means that we cannot guarantee specific outcomes, including but not limited to:

  • Career advancement, promotions, or changes in role
  • Salary increases or improved financial performance
  • Specific improvements in leadership ratings or assessments
  • Resolution of any particular challenge or goal

The effectiveness of coaching is significantly influenced by the client's own engagement, honesty, effort, consistency, and willingness to take action. We will always work diligently, professionally, and ethically to support your goals — and we stand behind the quality of our work.

10. Testimonials and Case Studies

We are proud of the results our clients achieve and may wish to share success stories as testimonials or anonymised case studies for marketing and educational purposes.

  • We will always seek your explicit written consent before publishing any identifiable information about you or your engagement.
  • You may withdraw your consent at any time by notifying us in writing.
  • Upon receipt of a withdrawal of consent, we will remove the relevant content from all our platforms and materials within 14 days.

Anonymised, non-identifiable insights from coaching engagements may be used for internal learning and service improvement without separate consent, provided no individual can be identified.

11. Website Use

Our website is provided in good faith to inform visitors about our services and resources. While we take care to ensure accuracy, we do not warrant that all website content is always accurate, complete, current, or error-free.

When using our website, you agree not to:

  • Systematically scrape, harvest, or copy website content without our prior written permission
  • Introduce malicious code, viruses, or any material designed to harm our systems or other users
  • Attempt to gain unauthorised access to any part of our systems or infrastructure
  • Use the website in any manner that is unlawful, harmful, threatening, abusive, or otherwise objectionable
  • Impersonate any person or entity, or misrepresent your affiliation with any organisation

We reserve the right to update, modify, or remove website content at any time without notice. We may also restrict access to our website at our discretion.

12. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Uganda. We are committed to resolving disputes fairly and efficiently. Our dispute resolution process is as follows:

  1. Step 1 — Good faith negotiation (30 days) Either party may raise a dispute in writing. The parties commit to engaging in good faith negotiation with the aim of reaching a mutually acceptable resolution within 30 days of written notification.
  2. Step 2 — Mediation If negotiation does not resolve the dispute within 30 days, either party may refer the matter to the Uganda Mediation Centre for mediation in accordance with their applicable rules. The parties will share the costs of mediation equally unless otherwise agreed.
  3. Step 3 — Litigation If mediation fails to resolve the dispute, the matter shall be referred to the Commercial Court of Uganda (High Court, Commercial Division, Kampala) for final resolution. Each party bears its own legal costs unless a court orders otherwise.

Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction where necessary to protect their rights pending resolution of the dispute.

13. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our practices, applicable law, or the scope of our services. When we make material changes:

  • We will notify all active clients by email with at least 14 days notice before the changes take effect.
  • We will update the 'Last Updated' date at the top of this page.
  • The current version of these Terms is always available at openmeadowdeck.info/terms.html.

Your continued engagement with our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should cease using our services and notify us in writing.
